Item 8.01 Other Events.

On June 22, 2006 the Pennsylvania Public Utility Commission (PUC) approved a settlement of the rate increase request filed in November 2005 by Aqua America, Inc.'s largest subsidiary, Aqua Pennsylvania, Inc. Under the terms of the settlement, the PUC awarded Aqua Pennsylvania an overall revenue increase of 9.2 percent, or $24.9 million, on an annualized basis.
